Overview

We are hiring a Senior Counsel to lead corporate transactions, manage litigation, and provide strategic legal counsel for FUJIFILM Holdings America Corporation (HLUS) and its subsidiaries. The Senior Counsel, reporting to the Assistant General Counsel and Assistant Secretary, will be an experienced lawyer, responsible for mergers and acquisitions, divestitures and corporate reorganizations, litigation management, compliance, and general corporate matters. The right candidate will be excited to join a growing company with a diverse portfolio of technology and manufacturing businesses. This attorney will work both independently and collaboratively and be a senior legal resource and valued business partner for HLUS and its subsidiaries.

FUJIFILM Holdings America Corporation is the holding company for North American based FUJIFILM companies operating in many states across the US, as well as in Canada, Brazil and Colombia and engaged in the research, development, manufacture, sale and service of FUJIFILM products. Responsibilities

  • Manages day–to–day legal affairs of certain FUJIFILM subsidiaries, including related operational and regulatory compliance with the assistance of outside counsel and other FUJIFILM legal and compliance resources.

  • Drafts, reviews and negotiates strategic and complex commercial and manufacturing contracts for certain subsidiaries, including domestic and cross–border supply and distribution agreements, intra–company agreements, vendor agreements, non–disclosure agreements, partnership, joint venture agreements, development, toll/contracted manufacturing agreements, services agreements, and technology licensing agreements, among others.

  • Collaborates with outside counsel and dedicated attorney resources on regular basis to manage and review large volume of contracts, resolve disputes and settlements, manage litigation and arbitration, ensure regulatory compliance, and handle other specialized matters.

  • Supports FUJIFILM and its businesses on mergers, acquisitions, divestitures, equity investment, and other strategic corporate transactions and reorganizations through direct legal counsel and managing outside counsel.

  • Performs general corporate and litigation and pre–litigation work to minimize risks and maximize FUJIFILM's legal position.

  • Advises, counsels and reports to management on all types of legal issues and makes recommendations for action.

  • Keeps abreast of legislative and regulatory changes that may affect the company and its affiliates.

  • Provides training to company and its affiliates on substantive legal topics, including contracts, antitrust and other regulations specific manufacturing companies.

  • Perform other duties as assigned.

    Required Skills/Education

  • 6–8 years of relevant experience in a law firm and/or in–house legal department, preferably including 2 years of Civil litigation experience.

  • Interest in supporting the high technology manufacturing and chemicals industry.

  • Strong domestic and cross–border commercial contracts and mergers and acquisitions experience (including drafting contracts, leading due diligence and post–merger integration).

  • Commercial and/or environmental litigation management and regulatory investigation experience.

  • Intellectual property, securities, government contracts, venture capital transaction and healthcare company representation experience are a plus.

  • Compliance experience in one or more of the following areas is a plus: CFIUS, antitrust, import and export controls, sanctions, anti–bribery and anti–corruption, EHS, and OSHA.

  • Demonstrated ability to work independently and manage multiple projects simultaneously.

  • Excellent writing skills, including business communications with executives.

  • Experience in managing outside counsel and/or legal staff.

  • Excellent strong planning and prioritizing, organization, communication, and interpersonal skills.

  • Ability to work in a fast–paced environment and manage high stress situations

  • Adept at collaboration across business divisions, functions, and geography, with a skill for engaging colleagues at all levels in projects and processes while continuing to own and drive them.

  • Demonstrably high ethical standards.

  • College degree and juris doctorate from accredited law school. Academic honors preferred.

  • Licensed to practice law in good standing under the Bar of at least one state.
