Position Summary:

This position will oversee and manage legal and compliance for the company and its affiliated entities, including appraisal management company Valligent (). Duties will include managing the contractual, employment, litigation, privacy, intellectual property, and other general legal needs of the companies. The position requires experience in complex transactional work and in drafting, negotiating and reviewing various types of contracts and other legal documents, including customer, vendor, license, professional services, remarketing/distribution, confidentiality, lease and strategic business agreements.

The successful candidate must be entrepreneurial–minded and a self–directed professional capable of working independently with little supervision and as part of a team. Strong initiative and excellent communication, analytical and organizational skills are essential; as is an ability to manage multiple tasks, identify, investigate and resolve issues, and work in a fast–paced environment with competing demands. All candidates must possess the confidence and creativity to work closely with business leaders to assist in the day–to–day management of legal issues to achieve the goals and objectives of the business.

Principal Responsibilities:

Draft, review and negotiate a variety of commercial transactions and agreements, including customer, partnership, consulting, joint–venture, vendor, insurance, lease, non–disclosure and other contracts
Oversee corporate regulatory issues and related compliance issues including labor, employment, vendor, privacy, immigration, lending, and securities regulations or compliance requirements
Manage and direct outside counsel and all litigation matters
Work closely with senior management and directly participate in general corporate governance and risk management functions
Participate in the definition and development of corporate policies, procedures and programs including management of business licenses and registrations
Manage a paralegal and compliance manager
Research, analyze and stay current with both federal and state law in order to provide necessary legal guidance
Review marketing, advertising and promotional material for compliance with relevant laws and corporate policies
Review and manage employment and related employment and consulting agreements in coordination with human resources
Review employee practices to ensure compliance with internal policies and relevant regulatory requirements
Advise senior management with respect to the legal implications of all major decisions, strategies and transactions of the company
Gain an understanding of corporate strategies and objectives so that legal advice, efforts and recommendations will help accomplish business goals while mitigating risk
Protect the company's Intellectual Property including being involved in the evolution of both the technology and product side of the business
Coordination with technology and operations team members in due diligence and compliance requests, as well as SOC, FISMA and related operational audits
Direct involvement in requests for proposals or information from a legal, compliance and regulatory perspective
Participation in industry associations, work groups, and advocacy efforts including speaking opportunities

Qualifications:

The qualified applicant must possess a Juris Doctor degree from an ABA–accredited law school and an active license to practice law in the State of California with five (5) to ten (10) years relevant legal experience and at least two (2) years working in–house.
Mortgage or financial services industry experience is preferred but not required. Must have strong legal research, analytics and writing skills with an intellectual curiosity and ability to learn quickly.
Must be able to apply the law and related legal, regulatory and risk management concepts to the company's operations and strategic initiatives in a practical, common sense manner, as well as be able to distill complex legal concepts into understandable terms for non–lawyers.
The qualified applicant will also be proficient in the full Office365 suite and Westlaw.
Excellent communication skills with an ability to make quick, sound and well–supported decisions and recommendations to senior executives and other senior leaders will determine this candidate's success.
