You don't need to come into the office everyday – we offer a hybrid work model to support life–work integration Job Summary – The Senior Manager, Contracts: Ensures oversight and assumes ultimate responsibility for multiple simultaneous projects by reviewing, negotiating, and drafting moderately complex to complex agreements. Communicates with internal business partners and appropriate external entities on risk assessment, information security, physical security, privacy, insurance, business continuity and business risk to determine requirements. Provides counsel on approach and applicable enterprise policies and standards to build consensus. Identifies business unit appetite for risk and provides advice to business partners regarding business issues, such as deal terms, risk assessments, customer concerns, strategy, and company policy. Supports a risk–aware culture and ensures effective risk management practices. Possess the professional education, experience, skills and judgement required to work with a high degree of independence on a significant volume and wide variety of complex transactions. Develops long term tactical planning to manage, direct, and develop a team of Contract Specialists to best meet the College of American Pathologists (CAP) business needs when it comes to contractual agreements with all external business entities. Primary duties and responsibilities: The Senior Manager, Contracts: Develops and revises cross–functional internal procedures related to contract review, negotiation, and execution transactions. Structures, drafts, reviews, and negotiates moderately complex to complex vendor and related agreements involving a wide variety of subject matters, including master service agreements, master license agreements, facilities agreements, collection contracts and marketing agreements. Communicates with and advises business partners and senior management to determine agreement requirements. Advises on approach and applicable enterprise policies and standards to build consensus on approach and execution. Identifies, assesses and communicates information to business partners on emerging topics and best practices. Ensures that programs, policies, procedures, and controls are implemented in a manner that is compliant with Company policy. Supports internal audits and reviews. Ensures contracts are executed within committed turnaround times so that the engagement between internal business partners and their external vendors commences without delay. Collaborates closely with business leaders from across functional teams to advise and influence their contractual development, decisions and negotiations. Ensures the organization's internal contract documents are accurate and well maintained. Ensures and maintains positive working relationships with both internal clients and external suppliers to ensure organizational needs are met. Identifies opportunities to improve business processes and devises plans to implement these changes. Pre–contract stage: Oversee internal meetings to learn the business goals, technical goals, and requirements of the contract. Develop guidelines and timelines for organizational RFx processes. Review and negotiate NDAs. Conduct risk assessments and due diligence, as needed. Provide guidance to enhance ultimate contractual outcomes. Contract stage: Review, draft, and lead the negotiation of a wide variety of contracts and other transactional documents. Identify and advise management and other stakeholders of contractual risks and mitigating alternatives. Ensure compliance of all transactional documents with all applicable legal requirements and contractual obligations to third parties. Post–contract stage: Review, draft, and negotiate change orders, and assist with vendor management as needed. The contract manager will provide strategic direction for the contracting area, including the development of a white paper for vendors to do business with the College. The contract manager oversees projects performed in partnership within and between CAP and other organizations. They are responsible for coordinating all aspect of the contract process from reviewing and approving contract terms to coordinating deadlines. Develop and implement a system for the review of contracts that identifies the risk to the organization. Review, draft, and lead the negotiation of a wide variety of contracts and other transactional documents. Initiate and lead regularly in meetings with internal management and personnel and with suppliers and vendors. Promote a team approach and a critical thinking environment to facilitate problem solving, empowering ownership and autonomy. Inspire trust and encourage professional growth by coaching and mentoring employees. Lead the hiring and onboarding of new contracts staff and managing staff performance. Implement a process for measuring contract turn–around time. Oversee, develop and document process for the sales contract coordinator function, including identification of bid opportunities and management of the prospect submissions and negotiations. Capable of handling a broad variety of transactions and issues including: IS hardware and software, IaaS/PaaS/SaaS, healthcare, government procurement, international trade, insurance, intellectual property, leasing, licensing, data security and data privacy, anti–corruption, professional services, contracting and subcontracting, employment, employee benefits. Excellent drafting and negotiation skills. Sound and practical business judgment. Capable of working with a high degree of independence. Able to organize, prioritize, and manage projects effectively. Able to remain informed of legal developments. Technical: Proficiency with sales, marketing & reporting tools Proficient in MS Word, Excel, and Outlook. Education: General: bachelor's degree. Legal: J.D. or a bachelor's degree in paralegal studies or a post–baccalaureate paralegal certificate. Other substantial forms of legal education may be considered in tandem with significant transactional legal experience. Experience: Required: significant experience in transactional law in a law firm or in a corporate or government legal department. Additional: other legal experience, such as litigation, and relevant business experience may be considered in tandem with transactional legal experience.
