Legal Contracts Counsel, Managed Services– Assistant Director

Job Summary:

The Managed Services and Technology Legal Counsel, a member of the EY General Counsel's Office (GCO), will be responsible for providing advice, counsel, and legal support in respect of the provision of managed services and other technology–related offerings to EY clients, with a particular focus on advising, drafting, updating and negotiating the legal terms and conditions of client facing managed services, outsourcing (BPO and IT), systems implementations, blockchain, applications maintenance/development, software licensing and software–as–a–service agreements ("Managed Services and Technology Agreements"). The Managed Services and Technology Legal Counsel will part of a team of GCO lawyers who focus on Managed Services and other technology offerings and will support the more senior members of the team.

The work is complex, often urgent, high in volume, and requires a background in managed services, outsourcing, and software–as–a–service, and current market knowledge related to current technologies.

This role reports to an Assistant General Counsel who specializes in Managed Service and technology offerings.

Responsibilities:

Drafting/updating and negotiation of client facing Managed Services and Technology Agreements, including advising on contractual strategy and risk, and keeping up to date with relevant legal developments;
Advising on key legal risks associated with the technology underpinning Managed Services and Technology Agreements (including data privacy, artificial intelligence, cloud and RPA);
Collaborating closely with other members of the US GCO as well as local counsel in EY member firms around the world;
Coordinating with cross functional teams (Commercial Engagement, Data Privacy, Talent, Information Security, and Tax) as necessary or appropriate for Managed Services and Technology Agreements;
Advising on the accuracy and sufficiency of contractual documentation to effectively protect EY interests;
Understanding existing EY policies and developing/enhancing policies and guidance relevant to managed services and technology offerings;
Managing workflow in a highly dynamic environment and remaining highly responsive, reliable, communicative, and accountable to team leadership and other members of the GCO; and
Building relationships and teaming seamlessly with other members of GCO, within the Legal Practice Groups, as appropriate, to deliver exceptional service to clients of GCO.

Qualifications:

Three or more years of complex services and technology related transactional experience in a client–facing capacity, and experience with drafting and negotiation of Managed Services and Technology Agreements (including statements of work, service level agreements and pricing schedules).
Experience with cross–border contracting (including employee matters such as auto–transfer laws, local country agreements, and cross boarder data transfer).
Experience in data privacy, intellectual property law and the use of open–source software in the context of Managed Services and Technology Agreements.
Knowledge of current technologies (including cloud, RPA, AI and blockchain);
Excellent communication skills, both oral and written.
Excellent negotiation and interpersonal skills.
High degree of cultural and emotional intelligence, and demonstrated aptitude for resilience, flexibility, and ability to adapt to changing circumstances and dynamics.
Ability to work independently as well as team effectively with colleagues in other functions and geographic locations.
Ability to grasp, understand, and accurately articulate and document complex legal and contractual principles, and balance risks from both a legal and commercial perspective.
Highly responsive with ability to manage high workload volumes and competing priorities efficiently and effectively.
Solution oriented with focus on exceptional client service.
A bachelor's degree from an accredited 4–year college.
Juris Doctor from an accredited law school.
Approximately 3–5 years of legal practice experience within a law firm or a corporate legal department.
Membership in good standing with a State Bar as an attorney qualified to practice law, including being current on individual state Continuing Legal Education requirements.

The salary range for this job in most geographic locations in the US is $120,800 to $219,200. The salary range for New York City Metro Area, Washington State and California (excluding Sacramento) is $144,900 to $249,100. Individual salaries within those ranges are determined through a wide variety of factors including but not limited to education, experience, knowledge, skills and geography. In addition, our Total Rewards package includes medical and dental coverage, pension and 401(k) plans, and a wide range of paid time off options.
