We are looking for a Business and Legal Affairs Associate Counsel to join our team. Given the diverse mix of content verticals in our growing and evolving company, this is an incredible opportunity to get exposed to a wide variety of transactions in the entertainment and media industry. This will be a highly visible role dedicated to deal management that will support the business and legal affairs team and company operations. Essential Duties and Responsibilities Lead negotiations and manage the life cycle of agreements, such as inbound licensing agreements and service/talent agreements; this will include the following tasks: provide strategic business and legal advice, conduct due diligence, review, redline, structure, draft, negotiate, support, and oversee contract and related matters including regulatory compliance. Identify, propose, advise, and support initiatives related to creator/vendor/talent/client relationship management and business and legal compliance and risk factors. Advise, train, and collaborate with various internal creative teams (editors, producers, etc.) and subject matter experts (content, business development, marketing, finance, etc.) Global, LatAm, and US. Support and align with other business and legal affairs units, legal operations, and other areas/units of Business and Legal Affairs and the Legal Function. Conduct research, draft memoranda and reports, and present on various business and legal issues and projects. Stay current and effectively advise and present on relevant market trends and conditions, competitive deal terms, and relevant legal developments including contract law, intellectual property law, licensing, entertainment law, platform liability–related laws, content distribution–related laws, social media law, etc. Support initiatives and maintain proficiency in applicable legal tech, tools, legal project management best practices, workflows and related methods aimed at streamlining business and legal process, contract/legal operations, and strategic knowledge management. Support other day–to–day business and legal operations. Minimum Qualifications JD, with membership in good standing in a state bar association (CA or NY preferred) 2–4 years of legal experience, either at top tier law firm or in–house legal department (entertainment or transactional experience preferred but not required) Demonstrated excellence in academics and work experience (law school transcript or employer references required) Proficiency in Microsoft Office Suite (Word, PowerPoint, Excel) Excellent analytical, verbal, writing/drafting, presentation, organizational, and negotiation skills Strong emotional, social, and cultural intelligence Ability to build relationships in a professional and inclusive manner A growth and open mindset Drive to think creatively and proactively on strategy, workflow, risk, and problem–solving Takes initiative, skilled in prioritizing and managing tasks in a fast–paced environment PLUS points (please state in cover letter or resume) but not required: Experience using contract/project management software (e.g., DocuSign, Airtable, etc.) Experience in Legal Operations Spanish or Korean proficiency (reading, writing, negotiating) Submission Materials Resume Cover Letter Law School Transcript (if 2 years or less out of law school) WEBTOON is owned by South Koreas internet conglomerate Naver.
