One of Crain's New York "Best Places to Work," Frankfurt Kurnit is seeking a senior–level tax attorney for our Tax Group . Our Tax Group assists clients with the organization and operation of their business enterprises, the planning, structuring, financing, negotiation and execution of business transactions, including mergers, acquisitions, divestitures, spin–offs, restructurings, recapitalizations and joint ventures, and the development and execution of their personal tax planning strategies. For tax–exempt organization clients, we help obtain and maintain their tax–exempt status and limit their potential tax liabilities. We also help our clients establish and defend their tax positions in proceedings involving inquiries by, or disputes with, governmental tax authorities. We represent businesses, key executives, creative talent, entrepreneurs, investors, lenders, directors, advisors and consultants in the various industries that we serve, as well as tax–exempt organizations, individuals, trusts and estates.

PRIMARY JOB FUNCTIONS

  • Provide sophisticated advice to business and individual clients on a wide range of U.S. federal, state and local income and other tax considerations, including, in large part, those related to organizational, compliance, transactional, equity compensation and controversy matters.
  • Support firm's other practice groups on tax issues arising in the course of their work.
  • Manage relationships with other client advisors with regard to tax planning, tax return preparation and governmental tax authority examinations and investigations.
  • Tax–related research and writing.
  • Counsel non–profit organizations on governance and tax matters, including private foundation excise taxes, taxation of unrelated business income, private benefit and inurement, and lobbying and political activities.
  • Additional responsibilities as assigned.

SPECIFIC REQUIRED KNOWLEDGE, EXPERIENCE, SKILLS AND ABILITIES

  • Ability to work independently.
  • Strong critical thinking, analytical, writing and communication skills.
  • General knowledge of, and facility with, tax law and extensive business transactional experience.
  • Attention to detail, pragmatism, judgment, creativity and demonstrated problem–solving skills.

EDUCATION AND EXPERIENCE

  • Minimum of six years of experience at a law firm with a significant business transactional practice and/or practice as an attorney at a national or large regional accounting firm.
  • Membership in the New York or California Bar is required.
