Job Details

Managing the legal function of the company, from contract law to disputes, department management, and acting as secretary to the Board of Directors. The Deputy General Counsel manages a broad range of day–to–day legal functions while improving practice and assisting the Chief Legal Officer in building the department and legal function.
  • Secure and oversee legal coverage for the day–to–day legal matters of the Company from contract negotiation and review, intellectual property protection, real property, commercial disputes, and securities law compliance.
  • Assist the Chief Legal Officer in developing the legal department and function, including budgeting and staffing, developing and implementing legal department processes and software platforms, budgeting and cost control.
  • Assist the Chief Legal Officer in reviewing disclosures and developing processes to ensure compliance with the Company's disclosure obligations.
  • Hands–on legal support of key legal projects, including the negotiation and conclusion of major contractual matters and managing outside counsel in the conduct of disputes.
  • Serve as Secretary to the Board of Directors; preparing for, and attending, Board Meetings; preparing minutes and liaising directly with Directors.
  • Work cooperatively with other leaders in the Legal/Compliance/Government Relations department, including Employment/Labor, Strategic Transactions, Compliance and Government Relations on major initiatives in these areas.
  • Stay abreast of legal, regulatory, and institutional requirements as they apply to the medical and recreational marijuana industry.
  • Oversee the Company's intellectual property portfolio (including strategy, prosecution, and enforcement of trademarks, copyrights, patents, and trade secrets).
  • Oversee non–labor and employment litigation and disputes.
  • Assist with PR on regular communications (e.g., press releases) and crisis management.
  • Assist Compliance, IT, and other departments with regulatory compliance.

Requirements
  • Doctorate Degree (JD)
  • Admission in at least one state bar.
  • 12+ years of experience in corporate law.

•4+ years' experience as a practicing lawyer, preferably initially with a prominent national law firm before moving to an in–house position.
•4+ years of legal practical experience with an in–house legal department in a public company in a senior role.
  • Demonstrated experience advising public company board of directors and senior executives regarding governance and securities issues.
  • Sound judgment: ability to make clearly reasoned decisions and recommendations.
  • Self–starter with good business sense and a sense of urgency, honesty and fairness.
  • Experience forging relationships and advising leaders and key stakeholders across large–scale, global companies.
  • Experience drafting complex transactional documents, especially vendor, services, procurement and other business–to–business agreements.
  • Excellent interpersonal skills with an ability to provide sound, clear legal advice to internal customers.
  • Proven experience working in a high–volume environment with ability to manage simultaneous projects in an efficient and timely manner with minimum supervision.
  • Broad, generalist legal knowledge that allows for expeditious problem identification and resolution and a practical, business–oriented approach to legal issues.
