How You'll Make a Difference:

The Senior VP, Counsel and Compliance Officer reports directly to the CEO and provides legal counsel on matters related to the Company's businesses and operations, including commercial contracts, transactions, HIPAA, compliance with federal and state regulatory requirements, and intellectual property. In addition, the General Counsel assists the Senior Management Team and other internal stakeholders with legal activities that focus on risk assessments for new market and product development. As General Counsel you will also serve as the Company's Chief Compliance Officer and Board Secretary.

Essential Duties and Responsibilities:

General legal oversight and counsel

Provide legal advice to CEO and Senior Management Team, as requested
Hire and manage any outside counsel
Take primary responsibility for the legal and compliance functions of the Company

Compliance (Privacy and Security Oversight)

Work with the Chief Technology Officer, the Chief Information & Security Officer and the VP of Information Security to complete and maintain CMS, HiTRUST and SOC 2 Type 2 audits
Work with the VP of Corporate Compliance to ensure the completion of payor audits
Oversee and perform vendor assessments
Respond to client assessments
Create and enforce policies
Ensure that the company's compliance and privacy obligations are well understood, and policies and procedures are being maintained to ensure compliance
Review existing and new client contracts to understand training and compliance requirements
Review existing and new vendor contracts to ensure that Company's security, privacy and compliance obligations are extended to any vendors with whom we work
Perform HIPAA risk assessments on Company and assess system changes
Conduct annual Compliance, Intellectual Property, Privacy/Security training for all employees

HIPAA/Anti–Kickback/Stark Analysis/Regulatory

Analyze contracts and new product offerings and system changes for legal and regulatory impact
Provide guidance to the CEO and Senior Management Team if privacy and/or data security issues arise

Contracting

Oversee and ensure robust contract management (MSA, BAA, SOW, NDA)
Ensure compliance with contracting drafting and approval processes and requirements
Review and negotiate all material contracts including Client Agreements, Vendor/Subcontractor Agreements and Consulting Agreements
Perform or ensure performance of key Human Resources legal and compliance matters (Employee Agreements, Background Check Agreements and Requirements, Exclusion Screening, Departure Process)
Assess technology transactions and agreements (Software Licensing Agreements, Matching Legal Requirements to Technical Requirements)
Review company specific data use requirements and making sure that all agreement support, not only the rights required to perform the services, but also the rights to improve our products and perform new research

New Market and New Product Development Risk Assessment

Identify and analyze potential legal, compliance and IP risks pertaining to Company's entry into new markets, new product developments and extensions to existing products and services
Collaborate with internal stakeholders, outside counsel and external subject matter experts as needed to establish risk mitigation plans or recommended modifications to the proposed products

Intellectual Property

Manage all patent, trademark, copyright, trade secret matters

Publication Oversight

Review marketing materials with particular attention to compliance concerns, publicity rights, testimonial releases, and agreements to draft white papers and/or published articles

Insurance

Ensure existing policies meet business and contractual requirements
Working with the VP of Business Services, monitor and manage coverage with insurance brokers

Board Secretary

Participates in Board meetings as a non–voting member. The secretary records meeting minutes in accordance with the bylaws and practices of the company
Drafts required resolutions and consents of the Board and Shareholders and other corporate documentation as required
Prepare and submit billing data and medical claims to insurance companies
Ensure member's medical information is accurate and up to date
Prepare bills, invoices and claims to payers
Collect and review referrals and prior authorizations
Monitor and follow–up on missed payments and resolve financial discrepancies
Investigate and appeal denied claims
Maintain and audit billing software and update rate changes, spreadsheets, and current collection reports

Qualifications/Skills:

Law degree from an American law school with experience practicing law
Member of a State bar; preferably of the State Bar of Arizona
A minimum of ten (10) years of experience advising healthcare institutions with experience as a Compliance Officer
Minimum of five (5) years of experience in handling employment related legal issues
Effective persuasion and negotiation skills
Ability to effectively collaborative and promote teamwork
Excellent written and verbal communication skills, including all aspects of legal writing technique and procedure
Must have ability to multitask and manage time effectively in a fast–paced and changing environment
