We are expanding our Governance team and looking for a forward thinking legally qualified individual with strong commercial experience. This is an ideal role for someone seeking a challenge and wanting to work in–house for an exceptional organization that is on an exponential growth journey.
The role will be responsible for:
- Drafting, reviewing and negotiating business contracts and legal documents including Global Distribution Agreements and Supplier Agreements to ensure protective agreements are in place as the organisation navigates a great period of growth
- Overseeing the execution of contracts to completion
- Post completion, conducting audits, alongside the Audit Team, to ensure conformity and adherence is achieved
- Maintaining registers of renewals and pro–actively commence re–negotiation where applicable in conjunction with key stakeholders
- Obtaining detailed instructions and briefings from internal stakeholders and communicate with Customers where required;
- Reviewing commercial agreements
- Advising on company law and commercial legislation;
- Resolving any business legal disputes;
- Advising on matters such employment law, regulatory and compliance
- Registering intellectual property rights (including trade marks and patents).
- Developing an infrastructure designed to protect the legal interests of the business organisation
- Oversee and co–ordinate all legal matters through in–house resource or outsourced services
- Develop and maintain relationships with panel of external legal representatives globally who will at as our 'go to' representatives under agreed retainers, operating in line with budgets approved by CGO and Commercial Team
- Optimise our legal processes within the organisation by providing legal support directly or co–ordinate external support particularly in relation to:
- Regulatory matters
- Commercial Contracts including leases
- Intellectual Property Rights
- Dispute Resolution
- M&A Activity
- Insurance
- Property matters
- Maintain the full contractual database for the organisation including overseeing the
- Protect and maintain VDL IP rights including the development of the IP renewals register and registration of trademarks for all existing and new requirements
- Collaborate across the business to assess and monitor compliance with legislation including GDPR, privacy, anti–corruption and anti–bribery policies
- Develop processes and policies to help ensure on–going compliance
