Job Details

We are seeking a highly skilled and experienced Corporate Paralegal to join our dynamic team in the medical industry. The successful candidate will be responsible for providing legal support to our organization, ensuring compliance with all legal requirements, and contributing to the growth and success of the company. This is a permanent position with a competitive salary and benefits package.

Responsibilities:

• Assist in the formation and maintenance of corporate entities, including drafting and filing necessary documents
• Prepare and maintain corporate governance documents, such as bylaws, operating agreements, and shareholder agreements
• Review and draft contracts, including vendor agreements, employment agreements, and non–disclosure agreements
• Prepare and maintain Board of Directors and Committee meeting minutes and resolutions
• Conduct legal research and analysis on various legal issues, including compliance with state and federal regulations
• Assist with the management of the company's intellectual property portfolio, including trademarks and patents
• Collaborate with internal departments, including finance, human resources, and compliance, to ensure legal compliance and risk mitigation
• Manage and track the company's litigation matters, including coordinating with outside counsel

Qualifications:

• Bachelor's degree and paralegal certificate required
• At least 3 years of experience as a corporate paralegal in a law firm or in–house legal department
• Strong understanding of corporate governance and entity formation
• Experience drafting and reviewing contracts
• Ability to maintain accurate and organized records
• Excellent written and verbal communication skills
• Strong attention to detail and ability to multitask in a fast–paced environment
• Knowledge of SEC regulations and filings preferred
• Experience in the medical industry a plus
