Introduction:

The Associate General Counsel operates out of the corporate headquarters in Research Triangle Park, NC. This position reports directly to the Chief Legal Officer. The TGCS Legal Department is comprised of generalists that work seamlessly as a unit. Each lawyer is assigned responsibility to support multiple functional areas and senior executives in our company, but as needs arise, we work together to solve problems and facilitate company objectives. This position will provide a full range of legal support and advises management across a broad scope of transactions and businesses associated with TGCS, domestic & international. As such, will be responsible for all legal affairs of the company, including corporate governance, contract negotiation, employment matters, IP Management, litigation management and regulatory compliance.

Responsibilities:
  • Trouble shooting and analyzing legal issues relating to a variety of business matters, including Vendors & Business Partner Contracts. Legal research and compliance. Provide advice and counsel on interpretation of laws, policies and contract provisions.
  • Advise on complex legal matters, analyze legal (and business, where applicable) issues, structure negotiate and draft a variety of commercial, technology and related contracts, including complex partnership agreements. Contract negotiation and preparation. Negotiate, revise, and draft various legal documents, including agreements, contracts, terms of use, policies.
  • Develop and support the continuous improvement of standard form agreements, legal processes and policies, and contract management. Maintenance and development of legal compliance and risk mitigation strategies including drafting and maintaining contract forms, legal documents and systems.
  • Work closely with our business and technology teams, including senior management, to understand and achieve key business objectives and assist in developing compelling product and service offerings that meet the legal and regulatory requirements of our customers.
  • Provide advice and guidance related to compliance with laws and regulations, international, federal, and state privacy and data security regulations and laws, including working with TGCS's business, technology and compliance teams to advise on, develop and implement appropriate practices, policies, procedures and legal controls.
  • Monitor current and evolving statutes, regulations, and case law to identify legal issues of critical importance to the Company, including compliance with cross–border data transfer restrictions and data localization requirements.
  • Supervise and coordinate with outside counsel, both domestic and international, on matters that require specialized legal attention.
  • Assist CLO & general counsel on legal issues as well as lead projects. Be a key contributor in helping to grow a dynamic company.
  • Maintain, enforce, and defend IP related matters.
  • Perform other related duties as assigned.


Required Skills:
  • Juris Doctorate Degree required with 8+ years of experience practicing preferred in a company legal department and/or law firm.
  • Holding a valid license to practice law and eligible to practice law in North Carolina.
  • Substantial experience drafting and negotiating complex transactions.
  • Demonstrated knowledge of intellectual property and licensing, including management of an I.P. portfolio
  • Experience providing legal support to technology product development, marketing and brand organizations.
  • Experience evaluating open source licenses.
  • Experience with commercial contracting, with a focus on technology procurement
  • Experience handling and resolving adversarial matters, including litigation.
  • Experience conducting confidential internal investigations.
  • Ability to perform administrative responsibilities, including managing projects within a budget Given the global responsibilities of the role, this person will need to be available via phone and email during off hours.
  • Self–motivated, with the ability to work independently and to work collaboratively as part of a team in a busy, fast–paced environment.
  • Business minded and problem solver mentality. Ability to creatively come up with appropriate solution by proactively analyzing the risk and provide business–minded advice and recommendation.
  • Strong written and verbal communication skills, especially negotiation skills
