Your Career

The Senior Corporate Counsel will provide advice and assistance on a range of legal matters including commercial, intellectual property, compliance, corporate and data protection / privacy focused in EMEA, but may also support other matters in other regions as needed. The Senior Corporate Counsel will report to the Vice President Legal – EMEA & LATAM, based in Amsterdam, the Netherlands. You will be part of a fast–moving, collaborative legal team that impacts all go–to–market aspects of the business. The team is focused on developing our next generation technology agreements, customer programs and channel partner programs to scale across the entire Palo Alto Networks platform.

This position works closely with sales, business operations, deals desk, revenue, finance, and other cross–functional teams and is a critical resource for colleagues in EMEA and globally. Strong candidates are proactive, solutions–driven, and independent, with direct and leading experience in drafting and negotiating consulting, software, cloud services, vendor financing, data protection, information security, and hardware agreements.

We expect office–based employees to be in the office four days per week, with one day working from where they choose. We believe being together facilitates casual conversations and those magic moments where we can work on issues and ideas informally. These moments build capability and deepen trusted relationships and allow our people to feel safe in taking risks and being disruptive. Like so many companies, we are working through the details and things could change . but in general if a role is deemed office–based we want our teams to be together four days per week.

Your Impact

  • Review, negotiate, and conclude complex commercial contracts involving software, subscriptions, professional services, hardware, customer support, including sales, licensing, subscription, data protection and other commercial and intellectual property agreements that comply with the company's policies and risk tolerance
  • Respond promptly and effectively to legal requests from sales, operations, senior management, marketing, corporate finance, and other internal clients, and advise on recommended courses of action and legal risks
  • Advise on data protection/privacy questions and issues as they arise and implement recommended courses of action, policies, and procedures to comply with EU data protection/privacy requirements
  • Assist with global expansion efforts and foreign subsidiary management
  • Assist in training employees on legal issues and company policies, including anti–corruption, code of business conduct and ethics, data protection / privacy and assist with implementation
  • Help to build and maintain scalable frameworks and processes
  • Collaborate with other teams within legal to ensure consistency and to address issues relating to data privacy, intellectual property, and compliance
  • Provide legal advice as necessary, including identifying processes, legal requirements, registrations, and procedures, and ability to judge when and how to escalate identified issuesAssist with business operations on trade compliance matters
  • Support the continuous improvement of standard form agreements, policies, and legal processes
  • Handle additional tasks and special projects as needed

Your Experience

  • 8+ years of relevant legal experience with ability to work both independently and with a team and show demonstrated success, including a minimum of 5 years in–house experience
  • Qualified to practice in at least one European Union jurisdiction
  • Superior and proven written and verbal English language skills are required
  • Significant experience advising clients on structuring sales, licensing, subscription, privacy, and other commercial and intellectual property transactions and arrangements
  • Extensive experience with data protection/privacy requirements, including GDPR and other data protection/privacy regimes
  • Excellent interpersonal skills, business judgment, strategic thinking and superior work ethic and must be dynamic and highly team oriented
  • Ability to work efficiently with cross–functional teams and manage numerous complex projects simultaneously under tight deadline pressure
  • Flexibility to work on a broad variety of legal matters
  • Experience in network security or other high technology is preferred
  • Trade compliance experience is a plus
  • Public sector and public tender experience is a plus
  • Experience working at a European subsidiary of a foreign parent is a plus
  • Periodic travel required within EU and occasional travel to HQ in Santa Clara, California
  • English fluency required
  • Second EU language strongly preferred
