Job Details

Seeking a Corporate Paralegal to join our Legal Department. This position will directly report to the Corporate Counsel and contribute significantly to franchise's overall legal function.

Job Responsibilities:
  • Conduct research on legal matters, including case law, statutes, regulations, and legal precedents. Summarize findings and provide relevant information to attorneys.
  • Assist in drafting and preparing legal documents such as contracts, agreements, bylaws, articles of incorporation, and other corporate documents.
  • Organize, maintain, and manage legal documents, records, and databases to ensure easy retrieval and compliance with retention policies.
  • Assist in due diligence processes for mergers, acquisitions, and other transactions, including reviewing documents and compiling relevant information.
  • Prepare and file necessary documents with regulatory agencies and government bodies, such as the Securities and Exchange Commission (SEC) or state authorities.
  • Support the maintenance of corporate governance records, including board meeting minutes, resolutions, and other corporate governance documents.
  • Monitor contract deadlines, renewal dates, and compliance requirements. Coordinate contract execution and distribution.
  • Draft and review correspondence, emails, and other written communications on legal matters.
  • Collaborate with attorneys to prepare for meetings, hearings, and trials. Provide research and administrative support during legal proceedings.
  • Interact with clients, outside counsel, vendors, and other stakeholders to gather information, provide updates, and facilitate communication.
  • Help monitor and ensure compliance with various legal and regulatory requirements affecting the company's operations.
  • Assist in managing the company's intellectual property portfolio, including trademarks, copyrights, and patents.

  • A bachelor's degree and/or a paralegal certificate or diploma from an accredited program is usually required.
  • 5+ years of experience required as a Corporate Paralegal or Paralegal in a Corporate setting.
  • Strong understanding of corporate law principles, contract law, and relevant regulations.
  • Proficiency in legal research methods and the ability to use legal research tools effectively.
  • Experience in document organization, management, and electronic filing systems.
  • Meticulous attention to detail is essential when preparing legal documents and conducting research.
  • Familiarity with legal software, research databases, and Microsoft Office suite.
