The team :
You'll be part of one dynamic global team (currently twelve persons in total) where you can stay true to yourself while working closely with colleagues from diverse backgrounds.
Murex management place a strong emphasis on legal matters, which is somewhat exceptional in its industry. This gives the legal department an important role within Murex but is also predicated on an expectation of maintaining very high standards, notably strong legal judgment based on an up–to–date and in–depth knowledge of black letter law and the ability to communicate this coherently and effectively and to apply it with commercial common–sense. The department is also expected to follow a globally consistent policy which is typically established centrally and with close senior management participation, leading to a heightened need for consultation within the department (and when necessary with management) in the event that deviations are proposed.
The Americas Team currently consists of the Americas GC and a paralegal. We work on a daily basis with colleagues based in Europe and Asia.
What you'll do :
The primary responsibility of your role is to provide full legal support to the businesses in the Americas, especially in relation to the negotiation and management of B2B commercial contracts, in particular:
Provide legal support in coordination with and under the supervision of the General Counsel (with the view of gaining capacity to work more independently) and assist the sales team in relation to:
pre–sales contracts/processes: draft and negotiate NDAs, review RFI/RFPs (i.e. prepare internal guidelines and responses in line with the RFP requirements and applicable policies); and
drafting and negotiation of software license, maintenance and services (including SAAS) contracts, and related amendments and SOWs, with international institutional customers (banks, hedge funds, financial institutions and multinational companies). This includes the preparation and tracking of issues lists and revised drafts.
Provide day–to–day assistance to the sales team in relation to contract management, compliance requests made by clients and other BAU matters.
Drafting and negotiation of partnership contracts with Murex's Alliance Management team, together with consultancy and training agreements with Murex suppliers.
Opportunities to assist in a range of corporate matters and the negotiation of procurement contracts, including inbound licenses and connectivity agreements for the Murex group.
Assisting and advising on business and intellectual property law issues to the the development, sales and other business teams.
Monitoring of legal developments in the Americas relevant to Murex activities.
Who you are :
Based in New York
J.D. (or LLM) from a U.S. law school and New York bar admission.
Native English speaker with excellent communication and drafting skills. Proficiency in French, Spanish, and/or Portuguese a plus.
At least 5 years' experience (including 3 years in a leading international law firm) where you have been exposed to negotiations, due diligence processes and major projects.
Excellent legal drafting skills and ability to communicate clearly and effectively with internal stakeholders (including senior management) and sophisticated clients.
Willingness to work as a team player and to learn and follow Murex contractual group policies is a must.
Appetite for commercial contract negotiation and drafting and willingness to work in a challenging environment.
Good knowledge of contract and commercial law (IP/IT law would be a plus).
Experience in negotiating software license agreements and related IP/IT agreements would be an advantage but is not required; training will be provided based on level of previous experience.

For this position, we anticipate offering an annual salary of $200,000 – $230,000 USD/ yearly, depending on relevant factors, including experience. This role is also anticipated to be eligible to participate in our annual bonus plan. You will also enjoy a comprehensive range of benefits, focusing on supporting your whole health.
