Last Energy (LE) seeks a Deputy General Counsel to play a pivotal role in supporting the legal team by providing vital legal insights, advising on corporate transactions, championing compliance across diverse company endeavors, and contributing to the progress of our international power projects.

This role will report directly to the General Counsel in Last Energy's DC headquarters.

Key Duties & Responsibilities
  • Provide expert legal advice on corporate governance and ensuring adherence to legal and regulatory standards
  • Advise the corporate parent and international subsidiaries on a wide range of legal matters, including commercial agreements, governance, and financial transactions
  • Collaborate closely with the General Counsel to proactively manage risk, ensure compliance with export control regulations, and develop strategies for risk avoidance and mitigation
  • Support the oversight of external counsel and coordinate legal activities aligned with company objectives
  • Ensure compliance with relevant laws and statutes, identifying and flagging potential areas of legal concern
  • Collaborate on corporate structuring and transactional matters, reinforcing strategic initiatives and alliances
  • Manage commercial contracts, encompassing drafting, negotiation, and revision processes
  • Draft, review, redline, negotiate, execute, and maintain complex commercial agreements, including NDAs, LOIs, real estate transactions, purchase power agreements, financing agreements, and engineering, procurement, and construction arrangements
  • Liaise with external attorneys on legal disputes and contribute to the formulation of resolution strategies
  • Provide insights on compliance programs, including anti–corruption and data privacy measures
  • Identify and assist in mitigating legal risks, proposing preventive measures when applicable
  • Contribute to the development of corporate legal strategies in alignment with business objectives and market dynamics
  • Assist in maintaining legal records, ensuring compliance with record–keeping obligations
  • Engage in legal dispute resolution efforts under the guidance of the General Counsel
  • Contribute legal expertise to strategic initiatives
  • Lead or participate in legal training workshops to enhance organizational compliance awareness
  • Assist in the compilation of regulatory reports and submissions
  • Stay informed about industry regulations, shifts, and best practices
  • Contribute to discussions on ethics and compliance to foster a company–wide ethical culture
  • Provide support for the intellectual property (IP) strategy to safeguard company assets
  • Assist in project development strategies to ensure compliance with relevant regulations
Qualifications
  • Juris Doctor (J.D.) degree from a recognized law school
  • 5+ years of legal experience as a practicing lawyer, preferably in corporate, regulatory, or project–related fields
  • Exceptional negotiation, drafting, and analytical skills
  • Ability to provide strategic legal insights
  • Proven ability to identify and mitigate legal risks
  • Sound judgment and decision–making capabilities
  • Effective communication and interpersonal skills, promoting collaboration
  • Meticulous attention to detail, combined with exceptional organizational and multitasking abilities
  • Adaptability in a rapidly evolving business environment
  • Knowledge of intellectual property (IP) is a plus
  • Familiarity with legal frameworks in the energy sector is a plus
  • Exposure to international corporate governance and contracting is a plus
