We are seeking an exceptional transactional attorney to join our legal team.

The mission of Notable's legal team is to provide superior quality, accurate and timely legal services through comprehensive, proactive and innovative analysis, consultation and work product to the associates, management, and board of directors of Notable.
You'll be on the forefront of an exhilarating and rapidly changing industry as Notable grows rapidly and expands its offerings. You'll negotiate multi–million dollar SAAS agreements with the largest healthcare organizations in the world. You'll also have the opportunity to take significant ownership over other challenging projects including vendor management, corporate and employment compliance efforts, as well as developing legal and compliance frameworks. Specialized knowledge in cybersecurity and/or privacy strongly preferred, as another core component of your role will be to partner with the business to execute effective strategies to reduce risk throughout Notable. Your level of responsibility will match your skill set and will increase rapidly.
The ideal candidate must have 4+ years' experience in technology law, intellectual property, corporate law, and healthcare law, with at least 2 years as in house counsel in the health–tech space.
Job Responsibilities
Commercial
Under the supervision of the Head of Legal, lead and oversee legal negotiations for commercial transactions, collaborating closely with the sales team to facilitate timely and efficient deal closures.
Draft and review complex commercial agreements, including SaaS, MSAs, and Collaboration Agreements, while considering all relevant legal and regulatory considerations for contracting health care software and services.
Drive improvements in the contracting process based on experience gained from supporting commercial transactions, defining optimal business terms and deal structures.
Develop, maintain, and refine legal templates and negotiation playbooks to streamline contract workflows.
Act as the primary legal point of contact for the sales team, handling new contract requests, renewals, amendments, and expansions.
Provide strategic and practical business and legal advice to foster strong relationships with Notable stakeholders, partners, and vendors, representing Notable in external meetings and negotiations alongside the sales team.
Identify and communicate agreement terms, associated risks, and interpret contract requirements, obligations, and risk assessments to relevant stakeholders, providing sound advice.
Stay up–to–date on relevant industry, commercial, and other laws, regulations, and developments to ensure effective guidance.
Regulatory & Compliance
Provide legal support to operations and commercial teams in addressing regulatory issues related to new partnerships, products, and solutions.
Advise the implementation, engineering, and security teams on compliance matters concerning products and solutions launched by Notable for its clients.
Conduct internal investigations pertaining to privacy and security incidents.
Maintain regulatory databases containing key resources for internal teams.
Negotiate key terms in business associate agreements to ensure compliance.
General
Advise in various legal matters, including conducting research, maintaining compliant employment agreement templates, and reviewing vendor agreements and NDAs.
Oversee corporate governance, including the maintenance of Notable's state licensing and registrations efforts.
Assist in managing Notable's intellectual property portfolio, including drafting cease and desist letters, and collaborate with outside counsel to submit trademark applications, and respond to office actions.
Handle legal requests from within the organization, prioritizing and providing timely responses.
Required Qualifications and Experience:
JD degree from an accredited law school in the United States.
4+ years of experience in commercial contracting and healthcare regulatory law at a law firm or in–house, with a strong preference for experience in a leadership capacity in an in–house position.
Working knowledge of data privacy and security laws, including GDPR, CCPA, and HIPAA (Working HIPAA experience is required)
Proven track record in drafting and negotiating agreements.
Licensed attorney in a U.S. jurisdiction (CA, CO, NY preferred)
Excellent communication skills, with the ability to convey complex ideas and concepts in a clear and accessible manner.
Strong problem–solving abilities, capable of approaching challenges from first principles and challenging traditional thinking.
Comfortable operating at both strategic and detailed levels, with the flexibility to adapt to changing priorities and long–term goals.
Thrives in ambiguous startup environments with rapid change.

Experience drafting and negotiating complex health–tech transactions and contracts

Demonstrated experience prioritizing conflicting demands from multiple business clients in an extremely fast–paced environment

Exceptional organization, time management, and decision–making skills and judgment
Eye for detail, a creative mind and excellent communication, writing, and analytic skills
A strong understanding of when to inform or advance legal issues to or seek input from Legal Team supervisor
Desired Qualifications and Experience:
Strong familiarity with Ironclad's contract management system or the ability to quickly develop a grasp for it.
Ability to contribute to the legal team's ongoing efforts to create, improve and operationalize internal processes, best practices, and commercial templates.
