Responsibilities

As General Counsel, you will report to the CEO and will support and implement critical initiatives, accelerate new ways of working and push forward the organization on its potential pre–IPO path. This will include, without limitation:

Manage Munchkins Product Compliance department and in–house legal team including Chief Patent Counsel and Paralegal reporting into them.

Manage litigation in areas of intellectual property including prosecution and defending complex patent infringement and trademark matters.

Defend lawsuits and other claims filed against the company.

Lead legal aspects of corporate merger and acquisition efforts/due diligence when necessary.

Drive development and implementation of corporate and product compliance and risk management policies to mitigate legal and financial risks.

Draft and negotiate high–priority legal documents, review legal data, and advise senior leadership on appropriate course of action and determine the need for and coordinate with outside counsel on various legal issues.

Provide leadership over legal and regulatory aspects of a potential IPO, preparing registration statements and managing other activities related to equity and debt transactions.

Collaborate and assist with the drafting of SEC filings, including Forms 10–K, 10Q & 8–K.

Oversee proxy statement preparation and participate in the annual meeting process.

Prepare board minutes and provide support to Munchkins Board of Directors and executive leadership team on matters including preparation and review of materials for meetings of the Board and its Committees.

Manage the companys insider trading policy, blackout and preclearance processes, 10b5–1 plans, related party transactions and preparation of associated policies, communications, and training materials.

Manage the companys Section 16 compliance program, report preparation and related SEC filings.

Advise on investor relations materials including press releases, investor presentations, annual reports, earnings announcements, investor call scripts and other communications.

Basic Qualifications

Law degree and member in good standing, of at least one U.S. state, and if not already a member in good standing in the California bar, a commitment to seek membership in the California state bar within one year of joining Munchkin if requested.

Minimum 12 years legal experience with relevant experience in both law firm and in–house public company environments and will have significant experience with IP litigation, product compliance, federal securities laws, corporate governance matters and corporate finance and strategic transactions.
