Summary:

The General Counsel will be responsible for providing legal support to the company and its subsidiary entities, ensuring compliance with all relevant laws and regulations, and managing the company's legal affairs. They will examine, draft, and review all company agreements, including IT, employment, real estate, customer and vendor contracts. They will also manage all intellectual property, including copyrights and trademarks. The general counsel will be responsible for the negotiation and management of customer contracts, insurance matters and employee relations. They will also coordinate legal due diligence for mergers and acquisitions, (M&A) activity, employee safety and consumer protection. This position will oversee compliance with corporate governance as well as company policies and procedures. Also, this position will coordinate the initiation, continuation and/or defense of any litigation affecting the company in coordination with the company's Board and outside counsel.

Key Responsibilities:

Provide legal advice and guidance to company management, employees, and subsidiary businesses on a wide range of legal and business issues, including telecommunications law, contract law, corporate governance, litigation and intellectual property law.

Draft, review, and negotiate a variety of commercial contracts, including master service agreements, vendor agreements, and licensing agreements.

Ensure that the company and its subsidiary businesses are in compliance with all relevant laws, regulations, and industry standards, and implement and enforce policies and procedures to maintain compliance.

Manage the company's legal affairs, including representing the company in legal proceedings, negotiating settlements, and providing support in disputes and negotiations.

Collaborate with other departments, including finance, human resources, and marketing, to support the company's overall business goals and objectives.

Advising executive, senior management and board on various matters such as legal rights, and new and existing laws.

Minimum Qualifications:

Experience with corporate governance issues and corporate secretarial duties

Excellent verbal and written communication skills

Knowledge of statuses, rules and regulations pertaining to businesses

Proficient understanding of business sensitivities and confidential

Bilingual (English/Spanish) would be a plus

Construction industry experience would be a plus

Required Education and Experience:

Juris Doctorate degree from accredited, top–tier law school

4 plus years of practice with an established law firm

Supervisory Requirements:

This position may include supervisory oversight of the Contracts Management and Corporate controls position

Position Type and Expected Hours of Work:

This is a full–time position. Days and hours of work are Monday through Friday, 8:00 a.m. to 5:00 p.m. Occasional after–hours work may be required to meet deadlines or manage crisis situations

Physical Demands:

Employee is occasionally required to stand; walk; sit; use hands to finger, handle or feel objects, tools or controls; reach with hands and arms

This role routinely uses standard office equipment such as computers, phones, photocopier, filing cabinets and fax machines

Occasionally required to lift or move up to 25 pounds and frequently lift or move up to 10 pounds

Must be able to pass pre–employment screening that includes background and drug/alcohol testing and participate in random testing program

Position requires working indoors in a professional office atmosphere

Must possess valid driver's license

Travel:

10% expected for this position. More will be required for a hybrid work arrangement, if permitted
