Job Details

We are currently seeking a talented Mid–Level Attorney with experience in corporate and technology transactions to join our legal team in Miami
The ideal candidate will have a solid background in corporate law and extensive experience handling technology–related transactions, including licensing agreements, software development agreements, and technology transfers.

Responsibilities:

• Provide legal counsel and support to clients on a variety of corporate matters, including mergers and acquisitions, corporate governance, and compliance.
• Draft, review, and negotiate a wide range of corporate agreements, including purchase agreements, shareholder agreements, and joint venture agreements.
• Advise clients on technology transactions, including software licensing agreements, technology development agreements, and intellectual property matters.
• Conduct due diligence for corporate transactions and assist with transactional closings.
• Stay current on relevant laws and regulations related to corporate and technology transactions and provide guidance to clients accordingly.
• Collaborate with internal teams, including finance, tax, and compliance, to ensure legal compliance and mitigate risks.

Qualifications:

• Juris Doctor (JD) degree from an accredited law school.
• Active membership in good standing with the Florida State Bar or eligibility for reciprocity.
• 3–5 years of experience practicing corporate law with a focus on technology transactions.
• Strong understanding of technology–related legal issues, including intellectual property and data privacy.
• Excellent drafting, negotiation, and communication skills.
• Ability to work independently and collaboratively in a fast–paced environment.
• Attention to detail and ability to manage multiple projects simultaneously.
