General Counsel
What We Need
NetBrain is looking for a passionate and hands–on leader to be our General Counsel. We're seeking a JD with extensive experience in software licensing, providing effective legal advice to senior management on company business strategies in the software industry.
The Impact You'll Make
This role will report directly into our Chief Executive Officer and provide the vision and leadership for NetBrain's global legal strategy. The role will have full responsibility for the company's legal function and collaborate with/oversee the work of outside counsel.
What You'll Do
- You will manage, advise on and negotiate complex legal and business transactions including licenses, partnership agreements, channel agreements, etc.
- You will lead a business focused legal function, contributing to the strategy of the business and driving performance.
- You will Influence, evaluate, and effectively manage timely and cost efficient outside legal counsel services and expert advisors as needed.
- You will support business operations and provide direction and counsel regarding compliance with all applicable laws and regulations, and staying abreast of laws, legislative developments and developing external trends.
- You will advise Human Resources on employment law matters to ensure statutory and regulatory compliance.
- You will Advise and counseling on equity and tax issues and regulations, including assessment and advice on current and future business structures and legal entities.
- You will maintain responsibility for and manage all aspects of the ethics and corporate compliance function
- You will manage the intellectual property portfolio, including trademark and copyright registration and protection, and patent matters.
- You will handle other legal responsibilities as needed.
Who You Are
- You are a member of the bar in good standing with a Juris Doctor (J.D.) and 10+ years of experience in general corporate in–house for a software enterprise and/or in a law firm
- You have software industry experience with drafting and negotiating complex commercial intellectual property transactions.
- You are experienced with contract and legal negotiations with enterprise customers.
- You have a proven ability to balance legal and business considerations, multi–task, problem–solve and operate in fast–paced and rapid growth environment.
- You display exceptional interpersonal skills and the ability to communicate effectively with senior business leaders and other professionals at all levels of an organization while utilizing excellent business and legal judgement in complex situations.
- You are a pragmatic problem–solver with high business acumen and the ability to be adaptable and flexible to thrive in a fast–paced, dynamic and high–energy environment.
- You are capable of significant work volume while being responsive and managing quick turnaround times.
- You are collaborative and you have strong advocacy and negotiation skills.
