What We're Looking For
We are in search of an experienced and strategic General Counsel (GC) to assume a leadership role within our legal team, guiding us through complex legal challenges. The GC will have the crucial responsibility of overseeing all legal matters across our organization. This entails providing strategic legal guidance to our senior management and board of directors, playing a pivotal role in growing our business, shaping our legal strategy, and risk management practices.
The chosen candidate will not only be a legal expert but also a key influencer in our organization's overall strategic decisions. They will actively contribute legal insights to major business initiatives and help shape our long–term goals while ensuring strict adherence to legal compliance. Furthermore, the GC will hold a leadership position within our legal department, where they will oversee a team of lawyers and legal professionals.
In this leadership role, they will be expected to set the department's strategic direction, manage budgets effectively, and make high–level legal decisions that carry significant implications for the entire organization. We are seeking an individual who can seamlessly blend legal expertise with business acumen to drive forward our organization's legal agenda.
Position Responsibilities:
- Legal Strategy: Develop and implement the company's legal strategy to support its business objectives and protect its interests.
- Compliance: Ensure compliance with laws and regulations relevant to safety and manufacturing in the food, beverage, and pharmaceutical industries.
- Contract Management: Oversee the negotiation, drafting, and review of contracts, agreements, and other legal documents.
- Intellectual Property and Trademarks: Protect and manage the company's intellectual property portfolio, including patents, trademarks, and copyrights.
- Litigation Management: Manage any legal disputes, litigation, or regulatory matters involving the company.
- Corporate Governance: Provide guidance on corporate governance matters and ensure adherence to corporate policies and procedures.
- Safety and Risk Management: Identify and assess legal risks and develop strategies to mitigate them.
- Labor and Employment: Oversee employment law matters, including employment contracts, policies, and employee relations.
- Data Privacy: Ensure compliance with data privacy and security regulations.
- Regulatory Affairs: Stay up to date with industry regulations and changes in the legal landscape affecting the company.
- Mergers and Acquisitions: Participate in due diligence and legal aspects of mergers, acquisitions, and other strategic transactions.
Qualifications And Experience Required
- Juris Doctor (JD) degree from an accredited law school and active membership in the Law Society of Ontario
- Minimum of 10–15 years of relevant legal experience, preferably in the technology or manufacturing industry and at least 5 years as a GC in Canada.
- Strong understanding of contracts, intellectual property, and safety laws.
- Proven experience in managing legal teams and overseeing complex legal matters.
- Excellent leadership, negotiation, communication, and analytical skills.
- Ability to work collaboratively with cross–functional teams and provide strategic legal advice to senior management.
