Associate General Counsel
The Associate General Counsel job assists in protecting the organization's rights, obligations, and privileges and its legal interests by providing legal advice and by ensuring the legal activities meet the current and future needs of the organization. This job provides legal advice/counsel in business–related areas of expertise (e.g., corporate law, real estate, tax, business litigation, transactions/anti–trust, compliance, intellectual property, employment/labor, corporate governance, and ethics).
Key Responsibilities and Duties
- Provides hands–on legal advice, guidance, and counsel to the CLO issuance and investment team.
- Review and negotiate documentation related to CLO platform.
- Researches, analyzes, and interprets proposed and existing laws, statutes, and regulations.
- Advises CLO team on recent changes in laws and regulations affecting the industry.
- Liaise with external legal counsel on legal issues related to the CLO platform.
Educational Requirements
- Doctoral Degree in Law Required
Work Experience
- 5+ Years Required; 7+ Years Preferred
Required Qualifications:
- Minimum of 5+ years of experience advising clients on CLOs (including but not limited to warehouses, new issues, refinancings, and resets). Prior experience in asset–backed securitizations may be considered towards experience.
- Doctoral of Law Degree
Preferred Qualifications:
- Expertise in one or more of the following would be strongly preferred:
- Manager–side CLO representation either at a firm or in–house
- Third party equity investor representation
- Risk retention fund structuring
- Stip negotiation process
- Warehouse lending (short and long–term)
- Working knowledge of adjacent areas of law, including the Investment Advisers Act and tax considerations
- Private funds/side letters
