What You'll Do

  • Independently negotiate, draft and manage various intellectual property licensing agreements from term sheet to definitive executed license agreement without supervision for use of ABG's global portfolio of brands and the intellectual property relating thereto (40%).
  • Lead negotiations and lead drafting for high priority acquisition and transaction related documents, license agreements, endorsement agreements, e–commerce agreements, distribution agreements, amendments to existing agreements, non–disclosure agreements, legal due diligence, rights clearance agreements, permission agreements, media placement agreements, legal notices and general legal correspondence (40%).
  • Review work product and general documentation prepared by junior supervised employees (10%).
  • Advise, communicate, interact and correspond with both internal and external counsel on various legal and business matters concerning the business conducted by ABG (5%).
  • Assist in determining and managing internal department strategies/agreement forms/best practices (5%).

Must Haves

  • Requires a Juris Doctor degree or foreign equivalent in Law or related field, and at least three (3) years of experience as an Attorney focused on Intellectual Property law or related occupation.
  • Experience drafting and negotiating Intellectual property licensing agreements;
  • Experience navigating complex commercial negotiations with high–stakes legal requirements;
  • Experience managing multiple, high–priority projects simultaneously;
  • Demonstrated ability to independently research legal issues, subject matter related to business transactions based on applicable case law;
  • Ability to advise best practices regarding the use of intellectual property in numerous global jurisdictions;
  • Ability to analyze legal risks versus business opportunities in a detailed, well–organized manner;
  • Ability to translate and communicate complex legal terms and situations to ensure internal partners understand;
  • Experience with drafting, structuring, negotiating intellectual property licensing agreements and other transactional documentation;
  • Experience communicating and engaging with the United States Patent and Trademark Office, and other global intellectual property authorities;
  • Experience communicating and engaging with outside law firms regarding legal business issues related to the company's operations.

Primary Location Salary:

$191,000.00 to $290,000.00
