Senior Director, Senior Corporate Counsel

Role Summary:

The Senior Director, Senior Corporate Counsel, provides a wide range of corporate support for the organization, with particular focus on securities, corporate governance, corporate transactions, and general corporate matters. The person in this role will manage multiple priorities and work in an environment with multiple stakeholders. You will provide strategic legal advice and guidance to support Dyne Therapeutics' business operations and corporate initiatives, working both independently and collaboratively within the legal team and cross–functionally.

This is a full–time position based in Waltham, MA without the possibility of being remote.

Primary Responsibilities Include:

  • Providing advice and counsel on the company's compliance with applicable securities laws and NASDAQ rules and regulations, including all periodic SEC 1934 Act filings.
  • Drafting and/or reviewing (in collaboration with cross–functional teams, auditors, and outside counsel, as appropriate) SEC filings, including 10–K, 10–Qs, Proxy Statement, 8–Ks, Section 16 reporting (Forms 3, 4, and 5), ensuring compliance with SEC and NASDAQ rules and regulations.
  • Supporting the company's corporate governance and corporate secretary matters relating to the company's Board of Directors and related committees, including Sarbanes Oxley compliance.
  • Assisting on executive and equity compensation matters.
  • Supporting the company's trading preclearance process and collaborating with finance on stock ownership and retention requirement compliance.
  • Collaborating cross–functionally to advise on disclosure matters, including earnings and other press releases, presentations, posters, manuscripts, significant internal communications, and other announcements.
  • Providing support for corporate transactions, including securities offerings, financings, investments, licensing, acquisitions, and divestitures by conducting due diligence, drafting and negotiating agreements, and providing legal advice on deal structures.
  • Providing legal support relating to business development, compliance, corporate ethics, employment law, and GDPR matters as needed.
  • Advising on legal and regulatory risks associated with product development, marketing, and commercialization activities, and developing strategies to mitigate those risks.
  • Monitoring changes in laws and regulations that may impact Dyne Therapeutics' business operations and developing policies and procedures to ensure compliance.
  • Managing relationships with external legal counsel and other advisors to support the company's legal needs.

Education and Skills Requirements:

  • JD from an accredited law school and license to practice in at least one US jurisdiction.
  • 8+ years' experience in securities and corporate governance matters in the biotech or pharmaceutical industry.
  • Experience advising on securities regulation, including securities law reporting, compliance and disclosure issues, shareholder meeting matters, stock exchange listing requirements, corporate governance, board matters, and executive and equity compensation.
  • Experience with leading corporate transactions.
  • Experience with privacy laws, such as GDPR.
  • A dedicated, interactive, proactive, and practical individual with the ability to counsel clients at all levels of the company with clear and concise advice.
  • A proven multi–tasker in a fast–paced environment.
  • Excellent communication, writing, and computer skills.
  • Strong knowledge of corporate governance, securities regulations, and intellectual property law.
  • Experience advising on corporate transactions, including mergers and acquisitions, licensing agreements, and strategic partnerships.
  • Excellent negotiation and problem–solving skills.
  • Ability to work independently and collaboratively in a fast–paced, dynamic environment.
  • Ability to collaborate well with internal and external stakeholders.
  • Excellent analytical, organizational, and information–seeking skills; detail–oriented.
  • Exceptional business judgment, with the ability to think strategically and give practical advice while balancing business needs with legal risks.
