Position Overview:

As the General Counsel you will be the principal legal advisor to the organization responsible for overseeing all legal matters that affect the company. Working cross–functionally, you will provide strategic guidance and ensure compliance with laws and regulations across all aspects of the business operations. The role requires a seasoned legal professional with extensive experience in corporate law, contract negotiation, risk management, and regulatory compliance and will play a key role in our organization's continued expansion. This position will report directly to the CFO.

Responsibilities:

  1. Legal Strategy and Guidance:
    • Develop and implement legal strategies that align with the company's business objectives.
    • Understand, manage, and advise executive management and the board of directors on legal risks and potential impacts of business decisions.
    • Provide proactive legal counsel on various issues, including corporate governance, intellectual property, regulatory compliance, and litigation management.
    • Coordinate with other internal functions to ensure internal business alignment and compliance with laws, rules, and regulations.
  2. Contracts and Negotiations:
    • Oversee the drafting, review, and negotiation of contracts, agreements, and other legal documents.
    • Ensure contracts are legally sound, protect the organization's interests, and comply with applicable laws and regulations.
    • Provide guidance on contract negotiations to minimize company risks.
  3. Compliance and Risk Management:
    • Monitor and ensure compliance with local, state, federal, and international laws and regulations.
    • Develop and implement compliance programs and policies to mitigate legal and regulatory risks.
    • Conduct internal investigations and audits as necessary to ensure adherence to legal standards.
  4. Litigation and Dispute Resolution:
    • Manage litigation and other legal proceedings involving the organization, collaborating with the Attorney General's office, investigating and settling tort claims, and defending against administrative actions.
    • Collaborate with external legal counsel on litigation strategy and representation.
    • Negotiate settlements and resolutions to legal disputes to minimize financial and reputational risk.
  5. Corporate Governance:
    • Support corporate governance activities, including board meetings, shareholder relations, and regulatory filings.
    • Advise on corporate structuring, mergers and acquisitions, joint ventures, and other strategic transactions.
    • Identify, educate on, and address emerging legislative and regulatory developments.
  6. Employee Relations and Labor Law:
    • Provide guidance on employment law matters, including employee relations, policies, and compliance issues.
    • Address legal aspects of labor relations, including disputes, union negotiations, and regulatory compliance.
    • Protect intellectual property rights through trademarks, copyrights, patents, and trade secrets.
    • Manage IP portfolios and enforce rights against infringement or misuse.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school; admission to the bar in the jurisdiction where the company operates.
  • 8+ years of experience as a practicing attorney, with a significant portion in corporate law, preferably within a relevant industry.
  • Proven leadership ability with strong interpersonal and communication skills.
  • Deep understanding of business operations, strategic planning, and risk management.
  • Ability to thrive in a fast–paced environment, working with several stakeholders and managing multiple priorities and deadlines effectively.
  • Ability to consider different legal perspectives and suggest practical solutions to complex problems.
