The Legal Counsel will provide legal advice and support to Mundipharma International Limited and its associated companies including undertaking projects relating to corporate divestments and acquisitions, as well as company secretarial tasks such as board and shareholder authorizations across a broad range of jurisdictions. The successful candidate will work under the supervision of and report to the Company Secretary but work closely with the General Counsel and other senior stakeholders.
Role and responsibilities - Acts as advisor on legal issues involving the organization's government and regulatory compliance, in particular company secretarial activities including preparation of Board and Shareholder resolutions.
- Advises organizations on appropriate legal action to be taken in a variety of commercial / legal circumstances, including managing the process of obtaining Director and Shareholder approvals, and proper recordal of resolutions and decisions in company systems e.g., maintaining statutory registers
- Supporting M&A transactions with legal advice, drafting and other transaction related legal work, risk management, contract management; project–managing finds flow and negotiating with counterparties.
- Convening and providing administration for annual general meetings (AGMs).
- Coordinating with the Finance department and other functions to gather necessary information and to manage deadlines and execution of actions approved by Board and Shareholders.
- Communicating as necessary with external professionals involved in corporate governance, in particular company auditors.
- Preparing / drafting intercompany and other transactional legal agreements e.g., loan agreements.
- Developing and or refining SOPs relating to Board governance.
- Performing due diligence on companies including their compliance and existing statutory record–keeping relating to corporate records.
- Keeping up to date with regulatory or statutory changes and policies that might affect the organization, implementing processes or systems to help ensure good management of the organization or compliance with legislation.
- Drafting and negotiating of other contracts, eg: Agreements for the purchase of a range of goods and services, Consultancy agreements, and Terms and conditions of business.
- Legal research, e.g.,: contracts, competition law, product liability, intellectual property.
- Supporting other legal department initiatives including document retention, data privacy, and legal technology implementation.
- What you'll bring
- Solicitor or professional qualifications equivalent/ Paralegal with proven experience and ambition.
- A minimum of 2 years post–qualification experience (experienced and ambitious paralegals considered).
- Proven experience in company secretarial work or a related supporting role.
- Pro–active with the ability to work independently and drive projects to successful completion.
- Strong communication skills for interaction with directors, shareholder representatives, and colleagues in legal, finance, and commercial departments.
- Strong project and organizational management skills and proficiency in using spreadsheets and tables.
- Familiarity with Docusign and Microsoft Office Suite.
- Interest/Experience in mergers and acquisitions and financial related matters.
- Interest in international company secretarial experience in fast moving environment
