What we do:

The Sr. Commercial Counsel is responsible for drafting and reviewing all types of commercial contracts, negotiation of the company's strategic contracts with suppliers, vendors, contractors, affiliates and other entities, and becoming a trusted adviser to the business on contract terms and negotiation.

Sr. Commercial Counsel is an attorney with significant in–house experience, and a background in procurement and sales contracts in the technology world, strategic relationships, and intellectual property regimes within commercial contracts.

What you can do:
  • Provide subject matter expertise and advice to the company's business units on contractual risk mitigation and intellectual property protection to support the needs of individual business units
  • Handle drafting, review, and negotiation of all types of company contracts, while developing relationships of trust with colleagues and stakeholders
  • Fashion practical business solutions to complex legal situations, applying negotiation skills as appropriate
  • Problem–solve creatively to help the business achieve its objectives while managing and mitigating risk
  • Distill and articulate sophisticated legal concepts into concise and plain language that business partners can both understand and readily act upon
  • Draft and revise contracts with succinct, plain language
  • Negotiate effectively both with internal and external individuals
  • Independently prioritize and accomplish work within time constraints
  • Have attention to detail and form, with excellent organizational skills
  • Extreme flexibility, highly organized, and ability to shift priorities easily
  • Other duties as assigned
What you can contribute:
  • Law degree (JD) from a law school accredited by the American Bar Association required
  • Active member of the State Bar of California, or qualified to practice in California as a Registered In–House Counsel
  • Minimum of ten (10) years of experience as a commercial transactions attorney, preferably in–house with one or more technology companies
  • Thorough understanding of intellectual property rights, ownership, and licensing in the context of commercial contracts
  • Thorough understanding of Uniform Commercial Code Article 2 and common law contracts principles
  • Experience drafting, negotiating, and finalizing different types of agreements, including joint development contracts
  • Experience supporting active research and development programs in the aerospace, transportation, or technology industry
  • Experience working with cloud–based contract management systems
  • High degree of personal ethics, integrity, and accountability, with particular emphasis on team building and inclusion
  • Excellent communication skills, including proactive delivery of communication and follow–up
You may also be able to contribute:
  • Experience with privacy law (U.S. and abroad) and cybersecurity issues preferred
  • Experience building, implementing, or optimizing supply chain or procurement processes preferred

Base pay offered may vary depending on skills, experience, job–related knowledge and location. This position is also eligible for a bonus as part of total compensation.

The pay range for this position is: $220,900 – $282,200 USD
