Senior Commercial Counsel

Position Overview:

We are seeking an experienced and dynamic Commercial Counsel to join our legal team on the West Coast. As a Commercial Counsel, you will play a pivotal role in providing legal support for our company's global operations, including across the Midwest, West Coast, and APAC regions. The successful candidate will be a business–savvy lawyer with a deep understanding of the ad tech industry, capable of operating independently and contributing to the growth of our business through strategic legal guidance.

Key Responsibilities:

  • Legal Review and Contract Drafting: Review, draft, and negotiate a wide range of vendor and commercial agreements, including but not limited to master service agreements, service and insertion order (IO) agreements, and Influencer contracts. Provide clear, concise, and strategic legal advice to internal stakeholders while ensuring alignment with the company's risk profile and business objectives.
  • Business Partnership: Collaborate closely with cross–functional teams, including Sales, Business Development, Product Management, and Finance, to understand the commercial aspects of deals and provide timely legal support. Serve as a trusted advisor to business teams, balancing legal considerations with practical business needs.
  • Risk Assessment and Mitigation: Conduct thorough risk assessments for proposed business activities and transactions. Develop creative and effective solutions to mitigate risks while facilitating business growth and innovation.
  • Training and Knowledge Sharing: Educate internal teams about legal matters related to the ad tech industry, including regulatory compliance, intellectual property, data protection, and contract best practices. Distill and communicate complex legal concepts in layman's terms.
  • Vendor Management: Manage relationships with external vendors and legal partners, ensuring timely and efficient execution of agreements and legal projects.
  • Continuous Improvement: Stay up–to–date with industry trends, regulatory changes, and emerging legal issues within the ad tech sector. Proactively identify areas for process improvement and contribute to the development of best practices and standard contract templates.

Qualifications:

  • Juris Doctor (J.D.) degree from an accredited law school and active membership in good standing with the relevant State Bar.
  • 10+ years of experience practicing law in an internationally/nationally–recognized law firm or in–house legal department (a mix of law firm and in–house experience is strongly preferred).
  • Experience in the advertising or ad tech industry, technology transactions, or related fields is strongly preferred.
  • Solid foundation in negotiating complex contracts and the ability to identify and solve for potential legal and business issues present therein.
  • Excellent analytical, problem–solving, and decision–making skills.
  • Demonstrated success in working in a fast–paced environment, including handling a number of projects, with the ability to organize and prioritize.
  • Ability to draft and close agreements independently with minimal supervision.
  • Exceptional communication and interpersonal skills, with the ability to communicate legal issues and solutions clearly and concisely, and build strong working relationships across departments and regions.
  • Proven ability to think strategically and provide actionable legal advice that aligns with business goals.
  • Willingness to learn new subject matters quickly and drive projects from start to finish.
  • This position is based primarily on the West Coast and will support global business operations, focusing on the Midwest, West Coast, and APAC regions. Some travel may be required.
