Opportunity
The Corporate Counsel is responsible for providing legal guidance and support to the organization on a variety of corporate matters. This role involves drafting and reviewing contracts, ensuring compliance with regulations, and advising on corporate governance, risk management, and other legal issues.
Responsibilities
- Provide legal advice on corporate governance, compliance, and operational matters.
- Assist in the development and implementation of corporate policies and procedures.
- Draft, review, and negotiate contracts and agreements, including vendor contracts, licensing agreements, and employment contracts.
- Ensure all contractual obligations are met and manage associated risks.
- Monitor and advise on compliance with applicable laws and regulations, including labor, environmental, and industry–specific regulations.
- Conduct compliance training for employees and ensure proper documentation.
- Support mergers, acquisitions, joint ventures, and other corporate transactions, including due diligence and negotiation.
- Prepare and review necessary documentation for corporate transactions.
- Identify and assess legal risks associated with business operations and provide strategies for mitigation.
- Develop and implement risk management policies.
- Assist in managing any litigation or disputes involving the organization, coordinating with external counsel as needed.
- Prepare legal documents and representations in legal matters.
- Support the Executive Leadership Team in fulfilling corporate governance responsibilities.
- Prepare and maintain corporate records, including minutes and resolutions.
- Communicate effectively with internal stakeholders, providing timely legal advice and support.
- Liaise with external legal counsel and regulatory bodies as necessary.
Qualifications
- A Juris Doctor (J.D.) or equivalent from an accredited law school is required.
- Must be admitted to the bar in the state where the corporation operates or where the corporate headquarters is located.
- Minimum 5 years of experience as a practicing attorney, preferably in–house counsel.
- Experience working in–house within a corporate environment is highly valued.
- Drafting and negotiating contracts experience is required.
- Legal research and drafting memoranda experience.
- Experience in areas such as mergers and acquisitions, employment law, intellectual property, regulatory compliance, or contract law.
- Proficiency in negotiating contracts and settlements.
- Real Estate or Stock Trading Industry preferred.
- Knowledge of intellectual property law preferred.
Skills Preferred
- Strong written and verbal communication skills for drafting legal documents, advising management, and negotiating with external parties.
- Strong problem–solving skills to address legal issues and conflicts effectively.
- Understanding of business operations and how legal issues impact business objectives.
- Ability to develop and implement compliance programs and manage legal risks.
- Meticulous attention to detail to ensure accuracy in legal documentation and compliance.
- Able to articulate well to executive officers.
- Team Player.
- Can multi–task effectively and efficiently.
- Ability to handle a wide range of legal issues and adapt to changing legal landscapes.
