Job Title: Corporate Counsel
Location: Massachusetts
Salary: 200k
A rapidly growing, venture–backed company is seeking a highly motivated and experienced Corporate Counsel to guide its legal strategy and operations. The company operates at the intersection of automation engineering, computational design, and polymer science, designing and commercially manufacturing highly customizable materials and products–ranging from medical devices to luxury fashion. This role will be the foundation of the legal function, ensuring the business confidently navigates the complex landscape of contracts, intellectual property, financing, and other legal matters. The Corporate Counsel will collaborate directly with the leadership team to minimize legal risks, protect innovations, and drive successful business outcomes.
Essential Duties & Responsibilities
- Contract Development and Negotiation: Draft, review, and negotiate a full range of commercial contracts, including sales agreements, licensing deals, NDAs, and vendor/supplier contracts.
- Intellectual Property Protection: Develop and execute strategies to safeguard valuable intellectual property assets, including managing patent filings, trademark registrations, copyright protection, and trade secret management.
- Corporate Governance and Compliance: Ensure compliance with all applicable laws and regulations. Advise the leadership team on corporate governance best practices and company policies.
- Financing and Securities Matters: Assist external counsel in fundraising activities, including equity and debt financing.
- Dispute Resolution: Provide guidance and support in potential or ongoing commercial or intellectual property disputes.
- External Legal Counsel Management: Serve as the primary liaison with external law firms, managing relationships, negotiating rates, and ensuring effective collaboration.
- Risk Assessment and Mitigation: Proactively identify and assess potential legal risks across the business. Develop and implement strategies to minimize risks and protect the company.
Job Requirements
- J.D. degree from an accredited law school and admission to the bar in Massachusetts (or bar of another U.S. jurisdiction that allows immediate reciprocity).
- Demonstrated expertise in contract law, corporate/securities law, and intellectual property issues. Employment law experience is a plus.
- U.S. person capable of receiving export–controlled data; some trade compliance experience preferred.
- High integrity with excellent business acumen and judgment. Ability to translate complex legal matters for non–legal audiences.
- Strong communicator with exceptional negotiation and problem–solving abilities.
- Independent and adaptable, able to thrive in a fast–paced startup environment.
