Job Overview
Serving as primary transaction counsel for contract negotiation. Additionally, providing strategic legal counsel to the executive team, overseeing all legal matters related to the company's operations, and ensuring compliance with all applicable laws and regulations. The VP of Legal / Corporate Counsel will manage the legal department, collaborate with external legal firms as necessary, and play a critical role in risk management, contract negotiation, and corporate governance.
Responsibilities
- Draft documents and serve as primary transaction counsel for management agreements, technical services agreements, and other contracts.
- Provide expert legal advice to senior management and various departments on a wide range of legal matters including corporate governance, contracts, compliance, real estate, intellectual property, employment law, and litigation.
- Oversee and manage litigation matters involving the company. Work closely with external counsel to develop strategies, manage costs, and achieve favorable outcomes.
- Draft, review, and negotiate a variety of contracts including management agreements, joint venture agreements, vendor agreements, service contracts, non–disclosure agreements, and leases.
- Provide legal support for real estate transactions, including acquisitions and development projects.
- Ensure company's compliance with all federal, state, and local regulations, including labor laws, health and safety regulations, and environmental laws.
- Advise on employment law matters, including labor relations and labor disputes, and coordinate with external legal counsel on resolution of employment law claims.
Qualifications
Education/Formal Training
Juris Doctor degree from an accredited law school.
Experience
10+ years with increasing responsibility in Legal and Risk Management including at least 5+ years of experience as transactional counsel.
Knowledge/Skills
- Strong knowledge of hotel management agreements, hotel technical service agreements, and all pertinent legal constructs.
- Strong working knowledge and familiarity with legal and contractual compliance, regulatory compliance, health and safety, environmental, and other operational risks.
- Effective communication and interpersonal skills.
- Ability to supervise and mentor multiple team members.
- Demonstrated ability to manage multiple deadlines against shifting priorities, highly organized and detail–oriented.
- Ability to work in a fast–paced, rapidly growing, entrepreneurial organization.
