About the Position:
Foursquare is looking for a Corporate Counsel to join our team located in or near one of our office hubs in New York City, Seattle or San Francisco (NYC strongly preferred). This is a great opportunity to join a high–growth company that is disrupting the geolocation space. In this role, you will report to the General Counsel and have an opportunity to drive impact on day one. As Corporate Counsel, you will be a true generalist and will play a critical role providing comprehensive, cross–functional legal services to the Company. The right person for this position must be a self–starter comfortable operating in a fast–paced and dynamic team environment and eager to broaden their skills in a role that will continue to grow with the business.
In this role, you'll:
- Oversee different aspects of legal matters (and liaise with outside counsel, as necessary), including, but not limited to, corporate, employment, real estate, M&A, IP, insurance and litigation.
- Establish and maintain business processes and internal policies aimed to scale the business and support corporate governance.
- Manage corporate governance matters, including board minutes, entity structure, and capital table.
- Assist the General Counsel in preparing for Board of Directors meetings and attend meetings as requested.
- Supervise litigation, respond to subpoenas and other requests for information, and interact with outside counsel and insurance brokers with respect to the same.
- Manage our robust patent and trademark portfolio, including advising senior leadership on strategy and opportunities for further development.
- Provide counsel to the People team on a variety of employment matters, including drafting and negotiating offer letters and bonus agreements, separation agreements, commission plans, and managing equity issuances.
- Provide occasional support to the Commercial Legal team to draft, review, and negotiate a wide range of complex commercial transactional agreements.
- Provide advice to various teams, including Finance and Sales, and ensure consistency and compliance with company policies and processes.
What you'll need:
- J.D. with 3–6 years of legal experience, including at least 2+ years of relevant in–house experience. Corporate law firm experience is also strongly preferred. Membership to a bar (NY or CA preferred), or ability to be registered in–house counsel.
- Experience handling a broad array of legal matters, including but not limited to, litigation, employment and HR, intellectual property issues, corporate governance, M&A, commercial agreements, and compliance. Experience with international entities is a plus.
- Keen ability to independently identify, investigate, communicate (in plain language) and manage risks across an organization.
- Strong ability to work collaboratively across various functions and with colleagues at all levels.
- Intellectually curious, team–player mindset, with an interest in understanding our business.
- Superior attention to detail and highly organized work habits.
- Independent drive and initiative to thrive and carry out responsibilities with minimal supervision.
- Practical business judgment and ability to think independently, qualify risk and problem solve.

Preferred Qualifications:
- Experience with M&A transactions, equity plans, and/or credit facilities.
- Proficiency with Carta, Salesforce, Excel functions and Google Suite.
- Experience in a technology and/or start–up company environment.

At Foursquare, we are committed to providing competitive pay and benefits that are in line with industry and market standards. Actual compensation packages are based on a wide array of factors unique to each candidate including but not limited to skill set, years & depth of experience, and specific office location.
The annual total cash compensation range is $150,000 – 185,000, however actual salaries can vary based on a candidate's qualifications, skills and competencies, as well as location.
Salary is just one component of Foursquare's total compensation package, which includes restricted stock units, multiple health insurance options, and a wide range of benefits!
