We are seeking a proactive and versatile Corporate Counsel to join our dynamic software startup. In this role, you will be responsible for managing all legal aspects of the business, from contract negotiation and compliance to intellectual property protection and risk management. What you'll do:
- Serve as an advisor: Proactively provide expert and strategic legal advice to management, and mitigate risk ahead of time.
- Contract management: Drafting and negotiating contracts, agreements, and other legal documents.
- Legal risk mitigation: Working with cross–functional teams to reduce legal risks for the company.
- Compliance: Ensuring compliance with legal, employment, and regulatory requirements.
- Template development: Developing, implementing, and maintaining standard templates, forms, and processes.
- Working with external counsel: Working with external counsel for areas the company can't handle, such as specific regulations for customers in heavily regulated industries.
- Communicating: Communicating complex legal matters to clients, colleagues, and other stakeholders.
- Record keeping: Keeping a record of all legal documents and proceedings for the company.
What you bring:
- J.D. degree from ABA–accredited law school.
- Admission to, and good standing in, any state bar or the District of Columbia bar.
- Combined 6+ years' legal experience in law firm and in–house environments.
- Strong track record of efficiently drafting and negotiating a range of commercial agreements, both on in–house and third–party templates.
- Strong analytical, communication, and organizational skills, with the ability to prioritize and manage multiple matters simultaneously.
- The ability to accommodate tight deadlines and operate in a fast–paced environment.
- Experience negotiating with external parties, from SMBs to Fortune 100 companies.
- Ability to work in a fast–paced environment with frequently shifting priorities.
- Attitude that no task or project is too big or too small.
- Bias to action and a "get things done" mindset. Identifies work that needs to be done, but also completes it.
