Senior Corporate Counsel

Spaulding Ridge is seeking a detail–oriented and hands–on Senior Corporate Counsel to join our best–in–cloud, best–in–people, technology consulting firm. As Senior Corporate Counsel, you will provide comprehensive legal support across various aspects of our business operations, focusing on contract management, compliance, and day–to–day legal matters.

Ideal candidates will be able to:

1. Provide legal counsel to leadership; advise on compliance, privacy, and employment matters
2. Prepare, review, draft, and negotiate a wide range of contracts, including MSAs, BAAs, and complex agreements
3. Handle lease reviews and negotiations, collections matters, and banking agreements
4. Manage employee relations matters, including employee agreements and related claims
5. Assist with immigration and global mobility issues
6. Oversee litigation and work effectively with outside counsel
7. Assist with IP & Trademark matters
8. Support expansion efforts and new entity formation
9. Participate in M&A due diligence processes
10. Review and create company policies
11. Develop and implement legal risk management strategies
12. Ensure corporate governance and regulatory compliance

Qualifications:

1. Juris Doctor (J.D.) degree from an accredited law school
2. Active membership in good standing with a state bar association
3. 7+ years of relevant legal experience, including in–house counsel experience
4. Strong knowledge of corporate law, contract law, and employment law
5. Excellent analytical and problem–solving skills
6. Strong negotiation and research abilities
7. Outstanding verbal and written communication skills
8. Detail–oriented with the ability to manage multiple projects simultaneously
9. Service–oriented mindset with a willingness to assist across various legal matters
10. Ability to work effectively in a fast–paced, dynamic environment
11. Willingness to work in a hybrid model, with 2–3 days per week on–site at our Chicago office

Preferred Skills:

1. Experience in professional services or technology consulting industries
2. Familiarity with cloud–based service firms and related legal considerations
3. International legal experience
4. Experience with mergers and acquisitions
